Does the exit payout include liquidation preferences?
No. For simplicity it splits exit value pro rata by ownership. Real payouts depend on liquidation preferences, debt, fees and taxes.
Where does the ESOP top-up come from?
This model creates the ESOP top-up before the new money (in the pre-money), which is a common investor ask and dilutes existing holders.
